These Terms & Conditions govern access to brightonlabs.ai and affiliated BrightOnLABS properties.

BrightOnLABS (“BrightOnLABS”, “we”, “us”, “Company”) welcomes you (the “User(s)” or “you”) to our website brightonlabs.ai and any related sites, subsites, or product microsites (collectively, the “Site”). These Terms & Conditions (the “Terms”) govern your access to and use of the Site.

By entering, accessing, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms (including our Privacy Policy). If you do not agree, do not access or use the Site.

Acceptance of Terms

By accessing, connecting to, or using the Site in any manner, you accept these Terms in full. These Terms, together with the Privacy Policy, form a legally binding agreement between you and BrightOnLABS.

Use Restrictions & Prohibited Conduct

You agree that you will not, directly or indirectly:

  1. Copy, modify, create derivative works of, adapt, emulate, translate, reverse engineer, compile, decompile, or otherwise attempt to derive the source code of any part of the Site or its content (collectively, the “Content”).
  2. Publicly display, perform, distribute, or otherwise make available in any form the Content without our prior written consent.
  3. Use the Content on any other website or networked computer environment.
  4. Create a browser or border environment around the Site (e.g., framing) or mirror any part of the Site unless expressly permitted.
  5. Transmit or distribute any Content that infringes third-party rights (including intellectual property or privacy rights) or is unlawful.
  6. Transmit or use any code, file, or program that may damage or hijack the operation of hardware, software, networks, or telecommunications systems (viruses, worms, malware, etc.).
  7. Interfere with or disrupt the Site, underlying servers or networks, or disobey any access restrictions or policies.
  8. Sell, license, or exploit any use of or access to the Site or Content for commercial purposes.
  9. Use the Site for spam, unsolicited messages, or similar conduct.
  10. Bypass or circumvent access controls or restrictions.
  11. Use the Site for illegal, unauthorized, immoral, or fraudulent activity.
  12. Provide Content or use that is illegal, infringing, or in violation of applicable laws, rules, or regulations.
  13. Violate any portion of these Terms.

Violation of any of the above may result in immediate termination of access and could expose you to civil or criminal liability.

Privacy Policy

Your use of the Site is governed by our Privacy Policy, which describes how we collect, use, and disclose information you provide.

Intellectual Property

  • Intellectual Property includes, but is not limited to, the Site, its logos, graphics, icons, images, layout and “look and feel,” source and object code, algorithms, trade secrets, and other proprietary content.
  • All Intellectual Property is owned by or licensed to BrightOnLABS and is protected by copyright, trademark, and other applicable laws.
  • Unless expressly permitted by these Terms, you may not copy, distribute, display, publicly perform, adapt, translate, reverse engineer, decompile, create derivative works of, or otherwise exploit any portion of the Intellectual Property.
  • BrightOnLABS grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site for your personal, non-commercial informational purposes, in accordance with these Terms.
  • BrightOnLABS’ name, logo, trademarks, and service marks are its intellectual property. Nothing in these Terms grants you any rights to use them.

Minors

Use of the Site is only permitted by individuals who are at least thirteen (13) years old or have reached the age of majority in their jurisdiction, whichever is higher.

Third-Party Components

The Site may include or reference software, libraries, or content from third parties (open source or proprietary). The use of those third-party components is governed by their respective licenses. In case of any conflict between such component licenses and these Terms, the component license prevails for that component. BrightOnLABS disclaims liability for third-party content or components beyond what those licenses allow.

Availability & Site Changes

  • The Site is provided “as is” and its availability may be affected by internet connectivity, hardware, software, service providers, and other external factors.
  • BrightOnLABS does not guarantee uninterrupted or error-free access.
  • We reserve the right to modify, suspend, or discontinue any portion of the Site at any time without notice.
  • The Content available on the Site may be changed, updated, edited, or removed without notice.

Disclaimers & Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIGHTONLABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR CONTENT WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. YOUR USE OF THE SITE IS AT YOUR OWN RISK.

Limitation of Liability

IN NO EVENT SHALL BRIGHTONLABS OR ITS AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, DATA, BUSINESS INTERRUPTION) ARISING OUT OF OR RELATING TO YOUR USE OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

If any jurisdiction does not allow limitation or exclusion of certain damages, those provisions will apply only to the extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless BrightOnLABS and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising out of or related to (a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any law or third-party rights.

Amendments to the Terms

BrightOnLABS may, at its sole discretion, amend these Terms at any time. Material changes will be notified on the Site (e.g., via banner or update notice) and will take effect at the “Last Revised” date. Your continued use of the Site after changes constitutes acceptance of the new Terms.

Governing Law & Jurisdiction

These Terms and any dispute or claim relating to them or your use of the Site are governed by the laws of the Province of Alberta and the federal laws of Canada, excluding their conflict-of-law rules. You agree to submit to the exclusive jurisdiction of the courts of Calgary, Alberta, for any dispute arising out of or in connection with these Terms.

Miscellaneous

  • Headings. Section titles are for convenience only and do not affect the interpretation of these Terms.
  • Relationship. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
  • Assignment. BrightOnLABS may assign or transfer its rights and obligations under these Terms without notice. You may not assign your rights or obligations without our consent.
  • Severability. If any provision is found invalid or unenforceable, that provision will be modified or severed to the minimum extent necessary, and the rest of the Terms will remain in effect.
  • Waiver. No waiver of any breach will be valid unless in writing. A waiver of one breach is not a waiver of future breaches.
  • Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and BrightOnLABS regarding the Site and supersede all prior agreements or communications, whether written or oral.
